MEMBERSHIP TERMS AND CONDITIONS
GALUP Membership Terms and Conditions shall apply to all Memberships, and the Member accepts the Terms and Conditions and agrees to be bound thereby.
TERMS AND CONDITIONS
These terms and conditions, together with all information submitted by a Member (collectively the “Terms and Conditions”) shall apply to the purchase and use by the Member of a GALUP membership. By tendering payment to GALUP the Member signifies its acceptance of these Terms and Conditions and its agreement to be bound thereby.
GALUP EVENTS
Membership includes varying levels of access to the following:
• Four social dining events per calendar year and four forums per calendar year
• Access to other ad hoc events organised on a free or pay per event basis, such as speaking events, drinking and other social events which will be organised and communicated to the Members throughout the year when and if they arise.
• Details of different categories of membership are specified in Schedule B below
1 INTERPRETATION
1.1 “MEMBER” means the person who is named on the Application For a Membership form and for whom, following acceptance by GALUP, the Club has agreed to provide services to. GALUP ’s acceptance of payment for a Membership from any individual or entity who is not the account holder for such Membership does not grant any rights to such Membership to such individual or entity. Any rights or privileges associated with a Membership belong only to the account holder of record as entered on GALUP ’s records.
1.2 “SPECIFIED SERVICE” means the Service provided by GALUP and set out in the literature provided with these terms.
1.3 “REGISTRATION FEE” means the one-off payment made by the Member to GALUP to cover yearly administration and membership costs.
1.4 “CONTRACT TERM” means either the 12 month calendar year from 1st January to 31st December, or the remainder of the calendar year to 31st December from the date when the Full Member pays and completes the registration for membership form online/manually.
1.5 “SET EVENTS” refers to the social dining events that GALUP will hold during each Contract Term.
1.6 “CODE OF CONDUCT” means the set of behaviours as laid out but not limited to in Schedule A
1.7 “VENUES” the locations whether indoor, outdoor, private property or areas open to public access where GALUP holds its events.
2 AGREEMENT TO THESE TERMS
2.1 When applying for Membership of GALUP, the Member confirms that they have read and agree to be bound by these Terms and Conditions.
2.2 The Member agrees that subject to the termination rights specified herein, the Membership is provided for a single calendar year and will expire on December 31st following the start of the Membership.
2.3 The purchase of a Membership for any year does not entitle the Member to renew any Membership for any subsequent year; and
2.4 Notwithstanding anything to the contrary in these Terms and Conditions, the opportunity to renew the Membership is a personal privilege granted by GALUP which may be withdrawn by GALUP at any time and that neither party has the right or obligation to renew a Membership.
2.5 The Member’s Membership remains subject at all times to the compliance of the Member:
(i) with these Terms and Conditions;
(ii) with applicable laws (including, but not limited to, laws, bylaws or regulations of the Republic of Singapore);
(iii) with all event venue policies.
3 SUPPLY OF THE SPECIFIED SERVICE
3.1 GALUP shall provide the Specified Service to the Member subject to these terms.
3.2 GALUP shall use its reasonable endeavours to provide the Specified Service within the advertised times.
3.3 GALUP may at any time without notifying the Member make any changes to the Specified Services that are necessary to comply with any safety or other statutory requirements and/or which do not materially affect the nature or quality of the Specified Service.
3.4 Any other changes or additions to the Specified Service or to these Terms will be notified to the Member in writing by GALUP in advance of those changes taking place.
3.5 The Member acknowledges and agrees that GALUP may cancel, postpone, reschedule or relocate events included in the Member’s Membership for any reason, as determined in GALUP’s sole discretion, as well as to modify or discontinue, temporarily or permanently, any aspect of the rules, operations and presentations of GALUP events.
4 CONTRACT TERM AND PAYMENT
4.1 Membership of GALUP is for an Initial Contract Term of up 12 months to 31st December of the same calendar year from the date of signing the application form.
4.2 Members who opt for a premium membership will pay a 12-monthly membership of SGD $1,000 to run from 01 January to 31 December. GALUP will run four Set Events each calendar year and four forums, i.e. eight dining events, plus additional opt in events on an ad hoc basis depending on demand and interest. Some ad hoc events may be free of charge and some may be chargeable on a pay per event basis.
4.3 Members sign up for a pro-rated fee for the remainder of the year’s Set Events and forums, i.e. if there are 2 events left, $250, if there is one event left, $125
4.4 Following the expiry of the Contract Term, members will have the option to renew or cancel their Membership.
4.5 All charges quoted to the Member for the provision of the Specified Service are exclusive of GST, for which, if GST is payable, the Member is liable at the prevailing rate, and these must be paid without deduction or set-off.
5 TERMINATION OF MEMBERSHIP
5.1 The Member may cancel their Membership at any time, for any reason with 30 days’ written notice to GALUP. Members who cancel their Membership will have all membership benefits suspended as of the effective date of cancellation.
5.2 GALUP reserves the right, in its sole discretion and without cause, to terminate a Membership account, to suspend a Member’s Membership, to withdraw or restrict access to certain Membership privileges, or to not offer to renew the Member’s Membership.
5.3 Either party may at any time terminate the Contract by immediate written notice if the other commits any material breach of these terms or goes into liquidation, becomes bankrupt, makes a voluntary arrangement with its creditors or has a receiver or administrator appointed.
5.4 Upon termination of this Contract for whatever reason, all sums owed by the Member to GALUP shall become due and payable by the Member with immediate effect.
5.5 For the avoidance of doubt, if the Member breaches any of the Membership terms, GALUP reserves the right to terminate the membership at its own discretion.
5.6 Refund policy: if a member cancels their membership, they may claim a refund on the same pro-rated basis for however many Set Events they will not be attending for the remainder of the year, however GALUP reserves the right to charge a processing fee of SGD $50, therefore the refund will be e.g. if there are 2 Set Events left, $250 - $50 = $200, if there is one Set Event left, $125 - $50 = $75.
5.7 If the Member requests a refund for ongoing membership fees and does not have confirmation of cancellation from GALUP, GALUP will assume that the proper cancellation procedure was not followed, and no refund will be given.
6. TRANSFER OR SALE OF MEMBERSHIP PRIVILEGES
6.1 Members have no right to transfer their Membership to any person or entity, whether by a request to transfer the Membership into another name, or by an attempt to transfer the Membership by sale, gift, will or trust, property settlement, or to creditors, or by any other means. Any attempt by a Member to sell or otherwise transfer their Membership may result in the cancellation of the Membership. Notwithstanding the foregoing, GALUP may allow an individual Member to request transfer of all Membership privileges to another individual upon payment of a $50 service fee (please see Membership Transfer Form for more information). GALUP reserves the right to approve or reject any such requests for any reason and at its sole discretion. If the transfer of membership is approved, GALUP will not have any involvement in the transfer of funds between the Member and the person to whom the membership is being transferred. That is a private matter between the two individuals.
7 GENERAL
7.1 Notices to GALUP are to be sent to galupsg@gmail.com
7.2 Notices to the Member will be sent to the contact details on the application form unless GALUP is otherwise informed in writing.
7.3 No failure or delay by either party in exercising any of its rights under these terms shall be deemed to be a waiver of that right, and no waiver by either party of any breach of these terms by the other shall be considered as a waiver of any subsequent breach of the same or any other provision.
7.4 If any provision of these Terms is held by any court or other competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these Terms and the remainder of the provision in question shall not be affected.
7.5 This agreement will be governed by the laws of the Republic of Singapore.
7.6 As a Member of GALUP, the Member agrees to conduct themselves in a professional and business-like manner, treating other members with respect at all times. If GALUP should receive a complaint about any Member’s behaviour, it reserves the right to suspend/terminate Membership. Such complaints would constitute a breach of these terms.
7.7 Membership of GALUP is at the sole discretion of GALUP, and it reserves the right to refuse Membership.
8 EVENT CANCELLATION POLICY
8.1 Cancellation by us: GALUP reserves the right to modify the program of any event up to the day of the event. If unforeseen circumstances cause GALUP to cancel an event, we shall inform you as soon as possible and arrange an alternative date/event in its place.
8.2 Cancellation by you: If you wish to cancel a booking, please note the following cancellation conditions:
8.3 Paid Events:
· 48 hours or more prior to the event – 100% refund
· 48 hours or less prior to the event -no refund
8.4 No Charge Events:
All events are costly to set up, even those which are ‘no charge’. If you book but find you are unable to attend, please let us know within 48 hours or more. We often hold waiting lists, and someone else could attend in your place. This policy applies unless an event has a special cancellation policy. All cancellations must be made in writing via email to GALUP.
8.5 By registering to attend an event, you have confirmed that you have read and understood our cancellation policy and the limited liability of GALUP as specified in clause 13.2 below.
9. PRIVACY AND DATA PROTECTION
9.1 Please note that your personal details supplied when making a booking will be held and/or computerised by GALUP for the purposes of processing your membership application and payment of the membership fee. Some personal details will be disclosed to banks and other financial institutions solely as necessary in order to process the payment. Your personal details will be retained securely and will not be divulged to any other individuals or organisations for any purposes except as may be required by law.
9.2 GALUP collects information on its members through their membership application. The details are kept on file by GALUP in electronic format and encrypted where appropriate.
9.3 Member details may be used for promotional purposes to keep members informed about changes to existing and new activities, courses, events and services that might be of interest. If you do not wish to receive information for ‘promotional purposes’, please tick the ‘opt out’ tickbox when filling in the relevant section on the membership joining form or by informing GALUP at any time.
9.4 Details on the system are not disclosed to third parties outside of services operated by GALUP. except as may be required by law.
9.5 Personal details will be held on our system for 1 month following the termination of membership.
9.6 Photographs and videos are occasionally taken at the GALUP events and may be used for promotional purposes. Please notify GALUP if you do not wish to appear in any of these photographs or do not wish to be tagged on social media. If the Member does not request to not be included in promotional media, the Member grants permission to GALUP, to utilize the Member’s image or likeness incidental to any live or recorded video display or other transmission or reproduction in whole or in part of the event to which the Member is admitted, and further authorizes the use of the Member image or likeness in connection with the promotion of GALUP.
10. OBJECTIONABLE CONDUCT
10.1 Members engaging in disorderly or objectionable conduct in violation of GALUP policies may be ejected from the event without refund of the event price.
10.2 If a Member is ejected for any reason from an event, GALUP reserve the right, in GALUP ’s sole discretion, to revoke the Membership of the member.
11. AMENDMENTS AND TERMINATION
11.1 GALUP reserves the right to amend these Terms and Conditions and the GALUP Membership Form terms in its sole discretion by emailing such amendments (the “Amendments”) to the members and posting them on the GALUP website or social media.
11.2 If Amendments are to take effect upon commencement of the following membership year, Members will be notified of any such Amendments prior to the renewal date for the Membership.
11.3 If Amendments are to take effect during the current membership year, and in the discretion of GALUP, are reasonably necessary to address safety, security or emergency situations, Members will be informed of any such Amendments upon the Amendments taking effect. In such case, the Member will be entitled to any refund of any unused membership fee made prior to the Amendments if the Member subsequently chooses to cancel the Membership as a result of the Amendments.
11.4 If Amendments are to take effect during the current membership year and materially reduce or restrict any benefits to Members or impose any additional material obligations, as determined by GALUP, and are not implemented by GALUP to address safety, security or emergency situations, Members will be informed of any such Amendments 30 days prior to the Amendments taking effect (the “30 Day Notice Period”). In this instance, Members will be entitled to cancel their Memberships by providing written notice to GALUP during the 30 Day Notice Period, in which case such a Member will be entitled to reasonable compensation corresponding to the proportionate loss of any Membership benefits for the remainder of the year, as determined in GALUP ’s sole discretion.
11.5 Without restricting the generality of the foregoing GALUP reserves the right to modify Membership pricing for future Membership Contract Terms.
12. MISCELLANEOUS
12.1 The Member confirms that the Member has been given a full opportunity to obtain independent legal advice with respect to these Terms and Condition and the GALUP Membership Form and has either obtained that advice or hereby waives any related rights or claims that might arise if that advice has not been obtained.
12.2 The invalidity of any provision of these Terms and Conditions shall in no way affect the validity of any other provision hereof.
12.3 These Terms and Conditions and the GALUP Membership Form contain all agreements of the parties with respect to the subject matter hereof and supersedes, cancels and replaces any other agreement, representation or understanding of any kind or nature.
12.4 These Terms and Conditions are wholly governed by the laws of the Republic of Singapore.
12.5 The Member confirms that the Member is 19 years of age or older.
12.6 The Member further confirms that the Member has read and understands these Terms and Conditions and the GALUP Membership From and agrees to be bound by their terms and conditions
13 WARRANTIES AND LIABILITY
13.1 GALUP warrants to the Member that the Specified Service will be provided using reasonable care and skill as far as reasonably possible. Where GALUP uses the Service of any agent or a third party (such as speakers at events), GALUP does not give any warranty, guarantee or indemnity in that respect.
13.2 Except in cases of death or personal injury caused by GALUP’s negligence, GALUP shall not be liable to the Member because of any representation (unless fraudulent or negligent) for any loss of profit or any indirect, special or consequential loss, damage costs, expenses or other claims (whether caused by the negligence of GALUP or its agents or otherwise) which arise out of or in connection with the provision of the Specified Service and the entire liability of GALUP under or in connection with the Specified Service shall not exceed twice the amount of GALUP’s charges for the provision of the Specified Service, except as expressly provided in these Terms. This warranty is in place of all other terms, conditions and warranties, expressed or implied statutory or otherwise and any other liabilities whatsoever and howsoever arising.
13.3 Dates and times of events are subject to change or cancellation. THE SOLE AND EXCLUSIVE REMEDY if an event does not take place for any reason and no reasonable replacement event takes place, is a refund of up to the event price set by GALUP (the “Value”), unless otherwise provided herein.
13.4 IN NO EVENT SHALL GALUP BE LIABLE FOR ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL, INDIRECT OR EXEMPLARY DAMAGES OF ANY KIND, OR ANY DAMAGES BEYOND THE VALUE OF THE EVENT. ANY DISPUTE OR CLAIM RELATED TO, OR ARISING FROM, AN EVENT SHALL BE RESOLVED BY MANDATORY, CONFIDENTIAL, FINAL, AND BINDING ARBITRATION. MEMBER AND GALUP AGREE THAT ALL EVENT DISPUTES SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS AND EACH WAIVES ANY RIGHT TO LITIGATE IN COURT OR ARBIRTRATE ANY CLAIM AS A CLASS ACTION, REPRESENTATIVE ACTION, OR CLASS ARBITRATION.
13.4 GALUP shall not be liable to the Member or be deemed to be in breach of these Terms because of any delay in performing, or any failure to perform, any of GALUP’s obligations concerning the Specified Service, if the delay or failure is due to any cause beyond GALUP’s reasonable control, and time shall not be of the essence.
13.5 THE MEMBER VOLUNTARILY ASSUMES ALL RISKS AND DANGERS arising from or related in any way to attendance at the event whether occurring prior to, during or after such an event, including but not limited to the risk of lost, stolen or damaged property and the risk of personal injury or death, including all risk of injury or death resulting from the negligence or misconduct of other members or venue guests, and
13.6 THE MEMBER AGREES THAT GALUP, ITS RESPECTIVE AFFILIATES, SUBSIDIARIES AND RELATED ENTITIES, AND EACH OF SUCH ENTITIES' RESPECTIVE EMPLOYEES, VOLUNTEERS, PLAYERS, OFFICERS, DIRECTORS, PARTNERS, OWNERS, SPONSORS, CONTRACTORS AND OTHER AGENTS (THE “GALUP PARTIES”), SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS, DAMAGE OR INJURY SUFFERED BY THE MEMBER ARISING FROM OR RELATED IN ANY WAY TO ATTENDANCE AT THE EVENT WHETHER OCCURRING PRIOR TO, DURING OR AFTER SUCH AN EVENT AND EXPRESSLY RELEASES THE GALUP PARTIES FROM THE SAME.
14. COVID-19
14.1 Acknowledgments of COVID-19 and Other Risks. The Member acknowledges that:
(i) the novel coronavirus SARS-CoV-2 and any resulting disease (together with any mutation, adaptation, or variation thereof, “COVID-19”) is an extremely contagious disease that can lead to severe illness and death, and there is an inherent danger and risk of exposure to COVID-19 in any place where people are present;
(ii) no precautions, including the protocols that will be implemented from time to time by GALUP and/or third parties (including, but not limited to, governmental agencies) (collectively, the “Protocols”), can eliminate the risk of exposure to COVID-19;
(iii) while people of all ages and health conditions can be and have been adversely affected by COVID-19, according to public health authorities:
a. people with certain underlying medical conditions are or may be especially vulnerable, including, but not limited to, people with chronic kidney disease, chronic obstructive pulmonary disease, moderate to severe asthma, liver disease, compromised immune systems (including as a result of organ transplant), obesity, serious heart conditions, sickle cell disease, and type 2 diabetes, and
b. the risk of severe illness from the contraction of COVID-19 increases steadily with age, and contracting COVID-19 can result in the further transmission of COVID-19 to my spouse, family members, and other contacts; and (d) exposure to COVID-19 can result in being subject to quarantine requirements, illness, disability, other short-term and long-term health effects, and/or death, regardless of age or health condition.
14.2 THE MEMBER FULLY UNDERSTANDS AND KNOWINGLY AND VOLUNTARILY ASSUMES ALL RISKS RELATED TO THEIR ENTRY INTO, AND PRESENCE IN, THE EVENTS, WHICH MAY INCLUDE AN INCREASED RISK OF EXPOSURE TO ILLNESS (INCLUDING, WITHOUT LIMITATION, COVID-19), PERSONAL INJURY, DISABILITY, OTHER SHORT-TERM OR LONGTERM HEALTH EFFECTS, AND/OR DEATH, WHICH MIGHT RESULT FROM THE ACTIONS, INACTIONS, OR NEGLIGENCE OF THEMSELF, ANY OF THE GALUP PARTIES, OR OTHER THIRD PARTIES. THE MEMBER ACCEPTS PERSONAL RESPONSIBILITY FOR ANY AND ALL DAMAGES, LIABILITY, AND OTHER LOSSES THAT THEY OR ANY OF THEIR HEIRS, ASSIGNS, EXECUTORS, ADMINISTRATORS, NEXT OF KIN, AND OTHER PERSONS ACTING OR PURPORTING TO ACT ON THE MEMBER’S BEHALF (“RELATED PERSONS”) MAY INCUR IN CONNECTION WITH THE FOREGOING RISKS.
14.3 ON BEHALF OF THE MEMBER AND EACH OF THEIR RELATED PERSONS, THE MEMBER HEREBY KNOWINGLY, VOLUNTARILY, IRREVOCABLY, AND FOREVER RELEASES, WAIVES, AND DISCHARGES (AND COVENANTS NOT TO SUE), EACH AND ALL OF THE GALUP MEMBERS, STAFF AND ORGANISERS FROM (OR WITH RESPECT TO) ANY AND ALL CLAIMS, SUITS, CAUSES OF ACTION, AND CLAIMS FOR DAMAGES, WHETHER PAST, PRESENT, OR FUTURE, AND WHETHER KNOWN OR UNKNOWN, INCLUDING, BUT NOT LIMITED TO, CLAIMS ARISING OUT OF OR IN CONNECTION WITH MEMBER’S DEATH, PERSONAL INJURY, ILLNESS, DISABILITY, SUFFERING OF SHORT-TERM OR LONG-TERM HEALTH EFFECTS, OR LOSS OF OR DAMAGE TO PROPERTY, WHICH MEMBER OR ANY OF THEIR RELATED PERSONS MAY HAVE OR HEREAFTER ACCRUE AGAINST ANY OF THE GALUP PARTIES AS A RESULT OF OR THAT RELATE IN ANY WAY TO:
i. MEMBER’S EXPOSURE TO COVID-19;
ii. MEMBERS TRAVEL TO AND FROM, ENTRY INTO, OR PRESENCE WITHIN, THE EVENTS OR COMPLIANCE WITH THE EVENT PROTOCOLS OR ANY OTHER POLICIES OR PROTOCOLS APPLICABLE TO THE EVENTS;
iii. ANY INTERACTION BETWEEN MEMBER AND ANY PERSONNEL OF ANY OF THE GALUP PARTIES PRESENT AT THE EVENT (INCLUDING, WITHOUT LIMITATION, ANY USHERS, TICKET-TAKERS, EVENT SECURITY, HEALTH AND SAFETY PERSONNEL, OR CLEANING, CONCESSIONS, OR PARKING PERSONNEL); OR
iv. ANY OF THE RISKS IDENTIFIED ABOVE IN SUBSECTION 14.1 (iii) (a), IN EACH CASE WHETHER CAUSED BY ANY ACTION, INACTION, OR NEGLIGENCE OF ANY GALUP PARTY OR OTHERWISE.
SCHEDULE A
EVENT CODE OF CONDUCT
GALUP is committed to providing a safe, comfortable and enjoyable experience for its members and guests at its events and GALUP is committed to providing a courteous and professional service. Everyone should expect and help to promote an environment where people are treated in a courteous, professional, considerate and respectful manner by all staff, team and event personnel, performers, players and other guests. Accordingly, GALUP will not tolerate unsafe, abusive, unlawful or offensive conduct in our Venues. This conduct includes, without limitation:
• Smoking (including e-cigarettes or vapourizers)
• Violence, fighting, threatening, taunting, physical or verbal harassment;
• Making abusive, sexist, racist, offensive or obscene remarks or gestures, or any such communication or gestures intended to cause fear, alarm or insult;
• Disruptive, harmful or disorderly behaviour;
• Sitting in a location other than the seat identified on the guest’s ticket unless the event is open seating;
• Any disruption of the event by a guest’s actions;
• Throwing objects of any kind;
• Engaging in any commercial activity not authorized by GALUP ;
• Failure to comply with requests from staff, including those related to Venue policies, operations or emergency response procedures; or
• Any act which, in the opinion of Venue officials, presents a risk to safety.
Failure to abide by this Code of Conduct is subject to sanctions at the discretion of GALUP, which may include ejection from the event, suspension of membership privileges, reporting to appropriate authorities such as the SPF, and cancellation of GALUP membership.
